1. Introduction

These Terms of Service ("Terms") govern your access to and use of the TextCharm platform, including the website at textcharm.com and all related services, tools, and features (collectively, the "Service"). The Service is operated by Host Server SRL, a company registered in Iasi, Romania ("Company", "we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use TextCharm. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3. Account Registration

To access the Service, you must create an account with a valid email address and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at office@textcharm.com if you suspect unauthorized access to your account.

4. Description of Service

TextCharm is a software-as-a-service (SaaS) platform that provides AI-powered writing tools. The Service allows users to generate text-based content such as articles, social media posts, ads, emails, product descriptions, legal page drafts, and other written materials using artificial intelligence.

Content generated by the Service is produced by AI models and is provided as a starting point. You are solely responsible for reviewing, editing, and verifying any output before publishing or relying on it for any purpose.

5. Plans, Credits, and Billing

5.1 Subscription Plans

TextCharm offers subscription plans on a monthly and annual basis. Each plan includes a set number of credits per billing period. Plan details, pricing, and credit allowances are listed on our Pricing page and may be updated from time to time.

5.2 Credits

Credits are consumed each time you use a tool to generate content. Different tools may require different amounts of credits depending on the complexity and output length. Subscription credits are allocated per billing cycle and do not roll over to the next period.

5.3 Credit Top-Up Packs

You may purchase additional credits through one-time top-up packs. Top-up credits do not expire as long as your account remains active. Credit top-up packs are non-refundable once purchased.

5.4 Billing and Payment

Payments are processed securely through our third-party payment processor (Stripe). By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually) until you cancel. All prices are listed in the currency displayed at checkout and include applicable taxes where required.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation, your plan remains active until the end of the current billing period. After that, your account will revert to the free tier (if available) or become inactive.

6.2 Refund Policy

• Annual plans: If you cancel within 14 days of the payment date, you may request a refund by contacting support at office@textcharm.com with your account email. Refund requests are reviewed on a case-by-case basis.
• Monthly plans: Monthly subscription charges are non-refundable.
• Credit top-up packs: Non-refundable once purchased.

7. Content Ownership and Intellectual Property

7.1 Your Content

You retain 100% ownership of all content generated through the Service. TextCharm does not claim any intellectual property rights over your generated output. You are free to use, publish, modify, and distribute your generated content for any lawful purpose without restriction.

7.2 Our Platform

All intellectual property in the Service itself — including the website, tools, design, branding, code, and documentation — remains the exclusive property of Host Server SRL. These Terms do not grant you any rights to use our trademarks, logos, or brand assets.

8. Acceptable Use

You agree not to use the Service to:

• Generate, distribute, or promote content that is illegal under applicable law
• Create adult, sexually explicit, or pornographic content
• Produce content that promotes violence, hate speech, harassment, or discrimination
• Generate content intended to deceive, defraud, or mislead others
• Create spam or mass unsolicited communications
• Attempt to reverse-engineer, hack, or disrupt the Service or its infrastructure
• Resell, sublicense, or redistribute access to the Service without our written permission
• Use automated bots or scripts to access the Service outside of normal usage

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice.

9. AI-Generated Content Disclaimer

Content produced by TextCharm is generated by artificial intelligence. While we strive for high-quality output, AI-generated content may contain inaccuracies, factual errors, or language that does not perfectly match your intent. You are solely responsible for reviewing and editing all generated content before use. TextCharm does not guarantee the accuracy, completeness, or suitability of any generated output.

Content generated by legal tools (such as Privacy Policy or Terms & Conditions generators) is provided as a template and does not constitute legal advice. Consult a qualified attorney for legal matters.

10. Teams

Some plans allow account owners to invite team members. The account owner is responsible for all activity performed by their team members, including credit usage. Team members use the owner's credit balance and are subject to the same terms and usage policies.

11. Availability and Uptime

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from downtime or service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, Host Server SRL and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in our Privacy Policy.

14. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion if you violate these Terms, engage in abusive behavior, or use the Service in a way that could harm other users or the platform. In cases of termination for cause, no refund will be issued for any remaining subscription period or unused credits.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively by the competent courts of Iasi, Romania.
